This is an English translation provided for convenience. In case of any discrepancy, the Ukrainian version prevails.

This document is a public offer by the individual entrepreneur (FOP) Zidu Linda Petrivna, taxpayer number (RNOKPP) 3394504883 (the "Provider"), to enter into an agreement for access to the GetCited.me software service on the terms below (the "Agreement") with any individual who has full legal capacity and is at least 18 (eighteen) years old, buying for personal or any other purpose, or any legal entity or individual entrepreneur (the "Customer").

The free Launch plan remains available to anyone under the Terms of Service; the payment provisions of this Agreement do not apply to it (clause 2.3).

The Agreement is concluded under Articles 633, 641 and 642 of the Civil Code of Ukraine and the Law of Ukraine "On Electronic Commerce" in electronic form and has the same legal force as an agreement signed in writing.

1. Definitions

1.1. Service means the GetCited.me software product (the website https://getcited.me and related applications and API) for monitoring and improving brand visibility in answers of AI systems (Generative Engine Optimization, GEO).

1.2. Account means the Customer's account in the Service.

1.3. Plan means a paid access plan (Growth, Scale or another plan shown on the pricing page) that defines the features and limits.

1.4. Site (seat) means one Customer website connected to the Service under a paid Plan. The Plan price is charged per Site.

1.5. Billing period means one calendar month starting on the date of the first successful payment (or of each subsequent automatic renewal).

1.6. Payment service means the internet acquiring services of JSC "Universal Bank" (monobank brand) used by the Customer to pay.

1.7. Terms of Service and Privacy Policy mean the documents at https://getcited.me/terms-of-service and https://getcited.me/privacy-policy, which form an integral part of this Agreement.

2. Subject of the Agreement

2.1. The Provider grants the Customer, for a fee, a non-exclusive, non-transferable right to access the Service features under the selected Plan and number of Sites on a SaaS (software as a service) basis, and the Customer pays for such access.

2.2. The features, limits (prompts, clusters, competitors, AI answer credits, content actions, audits, and so on) and price of each Plan are listed at https://getcited.me/pricing as of the payment date.

2.3. The free Launch plan is provided without payment under the Terms of Service; the payment provisions of this Agreement do not apply to it.

2.4. The Service is provided exclusively remotely, in electronic form, over the Internet. No physical media are delivered.

2.5. The service is deemed rendered at the moment access to the Service is opened in electronic form.

3. Acceptance and conclusion of the Agreement

3.1. The Customer accepts this offer by both: (a) ticking, on the checkout page, the box confirming agreement with this Agreement, the Terms of Service, the Privacy Policy, the terms of automatic monthly charges and the start of access immediately after payment; and (b) making the first payment through the Payment service.

3.2. The Agreement is concluded when the first payment is received. The electronic receipt of the Payment service and the confirmation email sent to the Account email confirm the conclusion of the Agreement.

3.3. By accepting, the Customer confirms having read the Agreement in full. An individual Customer may buy access for personal or any other purpose.

3.4. The "Buying for a business" box on the checkout page is optional. A Customer buying as a legal entity or individual entrepreneur may tick it and enter a VAT ID; both are used only for invoicing and records and do not change the terms of this Agreement.

3.4.1. If the Customer is a consumer within the meaning of the Law of Ukraine "On Consumer Rights Protection", by accepting the Customer gives its express consent, at checkout, to access to the Service in electronic form starting immediately after payment and acknowledges that from that moment the right to withdraw from the Agreement within 14 (fourteen) days does not apply, to the extent permitted by the Law of Ukraine "On Consumer Rights Protection". In all other respects this Agreement does not limit the consumer's rights under mandatory law. A consumer stops further access under clause 6.9.

3.5. This Agreement is a contract of accession within the meaning of Article 634 of the Civil Code of Ukraine: the Customer may conclude it only by acceding to all of its terms as a whole. Acceptance of part of the terms, on other terms or with reservations is not allowed.

3.6. By accepting, the Customer confirms and warrants that:

  • (a) the person accepting has full legal capacity and is at least 18 (eighteen) years old and, if acting on behalf of a legal entity or individual entrepreneur, is duly authorized to enter into the transaction on its behalf (for a legal entity, under part two of Article 207 of the Civil Code of Ukraine);

  • (b) neither the Customer nor the person acting on its behalf is included in any list of persons subject to personal special economic and other restrictive measures (sanctions) under decisions of the National Security and Defense Council of Ukraine, or to sanctions or restrictive measures of the United States, the European Union or the United Kingdom, and neither is located in a country or region subject to such sanctions;

  • (c) the funds used for payment belong to the Customer lawfully, are not seized or frozen, and were not obtained in breach of the Law of Ukraine "On Prevention and Counteraction to Legalization (Laundering) of Proceeds of Crime, Financing of Terrorism and Financing of Proliferation of Weapons of Mass Destruction".

3.7. The Provider may ask the Customer for information or documents confirming the warranties in clause 3.6. If the Customer does not provide them within the reasonable period stated in the request, or a warranty proves untrue, the Provider may refuse to conclude the Agreement, suspend access to the paid Plan, or terminate the Agreement under clause 11.4.

4. Prices and payment

4.1. Plan prices are set in US dollars (USD) per Site per Billing period.

4.2. Payment is made in Ukrainian hryvnia (UAH). The amount charged is the USD price converted at the official UAH/USD exchange rate set by the National Bank of Ukraine (NBU) on the charge date.

4.3. If the Customer's card is issued in another currency, the card issuer may convert the amount at its own rate and charge its own fee. The Provider has no control over and is not responsible for such rates and fees. These fees, and any fees the Customer's bank or payment system charges for the payment, are borne by the Customer and are not included in the Plan price.

4.4. Payment is made in advance for each Billing period by bank card through the Payment service. Card details are entered on the secure page of the Payment service; the Provider does not receive or store them.

4.5. Every payment and every refund is confirmed by the electronic receipt of the Payment service and an email to the Customer. An invoice for every payment is available in the Account under Settings → Subscription.

4.6. The Provider is a group 3 single tax payer and is not registered for value added tax (VAT). Prices do not include VAT and VAT is not charged.

4.7. The Provider may change prices by notifying the Customer by email at least 30 (thirty) calendar days in advance. The new price applies from the first Billing period that starts after that notice period. If the Customer disagrees, they may turn off automatic renewal before that date.

4.8. The Customer pays only with a card that it (or the business on whose behalf it acts) is entitled to use. Refunds are made only to the card from which the corresponding payment was made (clause 6.6).

4.9. Payments are processed by the Payment service and the Customer's card issuer. The Provider does not store or have access to card details (clause 4.4) and is not responsible for delays, errors or failures caused by banks or the Payment service when processing a payment or a refund.

5. Automatic renewal and how to turn it off

5.1. The subscription renews automatically for each subsequent Billing period. For this purpose the Payment service stores the Customer's card as a token; the Provider never sees or stores the card number.

5.2. The monthly charge equals the Plan price in USD multiplied by the number of Sites, converted to UAH under clause 4.2.

5.3. The Customer may turn off automatic renewal at any time in Settings → Subscription. After that no further charges are made, access to the paid Plan remains until the end of the Billing period already paid, and the Account then moves to the free plan.

5.4. The Customer may change or remove the saved card in Settings → Subscription. Removing the card turns off automatic renewal.

5.5. If an automatic charge fails, the Provider retries it and notifies the Customer by email. Access is kept for 7 (seven) calendar days from the failed charge (grace period). If payment is not received by the end of the grace period, access to the paid Plan ends and the Account moves to the free plan. The Customer's data is kept, but Sites and features beyond the free plan limits are locked until payment is restored.

6. Changing Sites and Plans. Refunds

6.1. Adding a Site. When a Site is added during a Billing period, a prorated part of the price for the days left in the current Billing period is charged to the Customer's card immediately. From the next period the Site is charged in full.

6.2. Removing a Site. When a Site is removed from the subscription, the prorated part of the amount paid for the unused days of the current Billing period is refunded immediately to the card used for payment.

6.3. Upgrade. When moving to a higher Plan, the prorated price difference for the days left in the Billing period is charged immediately.

6.4. Downgrade. When moving to a lower Plan, the prorated price difference for the unused days of the Billing period is refunded immediately to the card.

6.5. Prorated amounts are calculated by calendar days. Refund amounts below the equivalent of 1 (one) US dollar are not refunded and are not carried over.

6.6. Refunds are made in UAH to the same card. The time for the funds to arrive depends on the card issuer and usually takes 1 to 30 banking days. The UAH refund amount is calculated at the same NBU rate that was used for the corresponding charge. The card issuer may additionally convert the amount under its own tariffs.

6.7. Turning off automatic renewal under clause 5.3 does not entitle the Customer to a refund for the current paid Billing period.

6.8. In other cases refunds are made only where expressly required by the laws of Ukraine. Refund requests should be sent to support@getcited.me.

6.9. Access to the paid Plan starts immediately after payment. The Customer cancels by turning off automatic renewal under clause 5.3; the paid Plan then stays active until the end of the paid Billing period. Refunds are made only as described in this section 6.

7. Provision of access

7.1. Access to the paid Plan is granted automatically within a few minutes after the Payment service confirms the payment.

7.2. The Service is provided "as is" and "as available". The Provider uses reasonable efforts to keep the Service available but does not guarantee that the Service will operate without interruption or errors, that every error will be corrected, or that the Service will meet the Customer's expectations. Planned maintenance, failures of third-party providers (AI platforms, hosting, the Payment service) and force majeure are not a breach of the Agreement.

7.3. Monitoring results reflect third-party AI answers at the time of the request. The Provider does not guarantee that the Customer's brand will appear, be mentioned or be cited in AI answers or search results, or that its visibility will grow, and does not guarantee any particular brand visibility level, ranking or business outcome.

7.4. The Provider may restrict or terminate access if the Customer breaches the Terms of Service (including acceptable use rules) as set out in the Terms of Service.

7.5. Audits, recommendations, briefs, drafts and other outputs of the Service, including those produced with AI, are recommendations. The Customer reviews them before use or publication and decides on its own whether to use them; such use is at the Customer's discretion and risk.

7.6. The Provider may temporarily suspend the Service for maintenance, error fixes, improvements and new features, and may change, add or remove features of the Service. The features and limits of a paid Plan are determined under clause 2.2.

8. Rights and obligations

8.1. The Provider shall: provide access according to the paid Plan; provide payment confirmations and invoices; give notice of price and term changes within the periods set in this Agreement; protect personal data under the Privacy Policy.

8.2. The Customer shall: provide accurate information; pay for access on time; keep the Account login details confidential and not share Account access with third parties beyond the team access features (each set of login details is used by one person); promptly notify the Provider at support@getcited.me of any unauthorized access to the Account; comply with the Terms of Service.

8.3. The Provider may engage third parties (hosting, AI platform and Payment service providers and the like) to perform its obligations under the Agreement. Providers that process personal data are listed in the Privacy Policy.

8.4. The program code, design, algorithms, documentation and other intellectual property of the Service belong to the Provider; the Agreement grants the Customer no rights to them other than the access right under clause 2.1. Data and content the Customer submits to the Service, and outputs generated for the Customer, belong to the Customer; the Provider uses them only to the extent needed to provide the Service, as described in the Terms of Service.

9. Liability

9.1. The parties are liable for non-performance or improper performance of the Agreement under the laws of Ukraine.

9.2. To the extent permitted by law, the Provider is not liable for indirect damages, lost profits, loss of data or business opportunities arising from the use of or inability to use the Service.

9.3. The Provider's total liability for all claims related to the Agreement is limited to the amount actually paid by the Customer for the Service in the 12 (twelve) months preceding the claim.

9.4. The Customer shall compensate the Provider for losses, including legal costs, arising from third-party claims against the Provider caused by data or content the Customer submitted to the Service (including sites or properties the Customer is not authorized to analyze or manage) or by the Customer's breach of the Agreement or the Terms of Service. If such claims are made, the Customer shall cooperate with the Provider in settling them.

9.5. The limitations and obligations in clauses 9.2-9.4 apply to the extent permitted by the laws of Ukraine, except where mandatory consumer protection law does not allow such a limitation.

9.6. The parties are released from liability for non-performance or improper performance of the Agreement caused by force majeure confirmed as required by the laws of Ukraine. The party affected shall notify the other party by email within 5 (five) calendar days from the date such circumstances arise.

10. Personal data

10.1. The Customer's personal data is processed under the Law of Ukraine "On Personal Data Protection" and the Privacy Policy at https://getcited.me/privacy-policy.

10.2. Data needed to make payments is processed by JSC "Universal Bank" (monobank) as the Payment service. The Provider keeps records of payments, refunds, invoices and of the consent to automatic charges (consent text version, date and time) for the periods required by law and set out in the Privacy Policy.

11. Term, amendment and termination

11.1. The Agreement is effective from acceptance until the paid subscription ends (automatic renewal is turned off and the paid period expires, non-payment after the grace period, or Account deletion).

11.2. The Provider may amend this offer by publishing a new, dated version on the website. Every substantive change (a provision added, removed or changed in meaning) is notified to Customers with a paid subscription by email to the Account email, with a link to the new version and the date it takes effect, at least 14 (fourteen) calendar days before that date. Corrections that do not change the meaning of the terms (typos, formatting, updated details) take effect on publication without a separate email. Price changes follow clause 4.7. Continued use of a paid Plan after changes take effect means acceptance of the new version. A Customer who disagrees with the changes may, before they take effect, turn off automatic renewal (clause 5.3) or delete the Account (clause 11.3). Disagreement with the changes is not a ground for a refund of the current paid Billing period.

11.3. The Customer may terminate the Agreement at any time by turning off automatic renewal or deleting the Account. Account deletion ends access immediately; a refund for the unused period is then made only under clause 6.8.

11.4. The Provider may terminate the Agreement unilaterally on the grounds in clauses 3.7 and 7.4 by sending a notice to the Account email.

12. Disputes

12.1. This Agreement is governed by the laws of Ukraine.

12.2. Disputes are resolved by negotiation. The Customer sends a claim to support@getcited.me, preferably from the Account email. A claim must contain at least: the Customer's name (for an individual entrepreneur, the full name), the Account email, the circumstances on which the claim is based, and the Customer's demand. If the information provided is not enough to consider the claim, the Provider may ask for clarification, stating exactly what is missing. The Provider replies within 14 (fourteen) calendar days from receipt of the claim.

12.3. If no agreement is reached, the dispute is referred to a court under the laws of Ukraine.

12.4. Contacting the card issuer to dispute a payment (chargeback) remains the Customer's right; the parties nevertheless agree to contact the Provider first to resolve the issue.

12.5. The general limitation period of 3 (three) years applies to claims for recovery of amounts due under this Agreement.

13. Final provisions

13.1. If any provision of the Agreement is held invalid or unenforceable, this does not affect the validity of the other provisions; that provision is limited or excluded to the minimum extent necessary.

13.2. A party's failure to exercise any right under the Agreement, or to require performance of any provision in a particular case, is not a waiver of that right or provision in the future.

13.3. The Agreement is concluded in Ukrainian in electronic form. It does not require signing by both parties and is valid for the parties in electronic form. This English translation is provided for convenience; in case of any discrepancy, the Ukrainian version prevails. Emails to the Account email, electronic receipts of the Payment service and invoices in the Account are proper notices and documents under the Agreement.

13.4. The Provider does not publicly disclose that the Customer uses the Service, or the Customer's name, trademark or websites, and does not list the Customer in client lists, case studies or marketing materials without the Customer's separate written consent. The Provider may use only anonymised and aggregated data about the use of the Service.
